Affiliate Program Terms and Conditions
This Affiliate Program Contract ("Contract") is made and entered into by and between JIT4You, a clinical diagnostic consumables dealer ("Company"), and [Affiliate Name], ("Affiliate"), collectively referred to as the "Parties."
Definitions:
- Company: JIT4You, the clinical diagnostic consumables dealer.
- Affiliate: The party entering into this agreement to promote Company's products and services.
- Affiliate Program: The program through which Affiliate promotes Company's products and services in exchange for commissions.
- Commissions: The compensation Affiliate earns for successful referrals that conclude in a purchase.
- Appointment: Company hereby appoints Affiliate as a non-exclusive affiliate to promote its products and services in accordance with the terms and conditions of this Contract.
- Responsibilities of the Parties.
- Company Responsibilities: Company shall provide Affiliate with necessary marketing materials, tracking links, and support to facilitate promotion of its products. Company shall also process orders and handle customer inquiries and complaints.
- Affiliate Responsibilities: Affiliate shall diligently promote Company's products and services using ethical and legal methods. Affiliate shall not engage in any deceptive or misleading practices. Affiliate shall be solely responsible for any content created or distributed in connection with the promotion of Company's products.
- Commission Structure: Company shall pay Affiliate a commission for each sale generated through Affiliate's unique tracking link or promo code. The commission rate shall be 6% of the order value, subject to change at Company's discretion with prior notice to Affiliate.
- Payment Terms: Company shall pay Affiliate commissions on a quarterly basis. Payment shall be made via direct bank transfer. Affiliate shall be responsible for any taxes incurred as a result of receiving commissions.
- Termination: Either Party may terminate this Contract at any time with 30 days written notice to the other Party. Upon termination, all obligations under this Contract shall cease, except for any outstanding payment obligations.
- Confidentiality: Both Parties agree to keep confidential any proprietary or sensitive information disclosed during the term of this Contract.
- Governing Law: This Contract shall be governed by and construed in accordance with the laws of California.
- Entire Agreement: This Contract constitutes the entire agreement between the Parties and supersedes all prior agreements and understandings, whether written or oral.
